Board of Directors Position Descriptions

General:
  • Carry out the mandates and policies of the Council.  Between Annual Meetings the Board of Directors may make and enforce such policy on behalf of the Council as is not inconsistent with the mandates and policies determined by the Council.
  • Foster the growth and development of the Council.
  • Direct all business and financial affairs of the Council, including approving an annual budget.
  • Be responsible for creation, appointment, purposes and activities of such committees as it deems necessary.
  • Be responsible for the program, time, and place of the Annual meeting of the Council.
President
  • The President shall preside at all meetings of the Board of Directors and Executive Committee.
  • The President shall be responsible for relations with groups or individuals external to the Council, within or outside of the Association (e.g. Association headquarters, chapters, educational associations, etc).
  • The president shall submit an annual written report of the activities of the Council at the Annual Meeting.
Vice President
  • The Vice President shall serve as the Presiding Officer at Meetings of the Council.
  • The Vice President shall assume the duties of the President if the President is absent or incapacitated.
  • The Vice President shall assume assignments as delegated by the President, the Executive Committee, or the Board of Directors.
  • The Vice President shall be responsible for the Bylaws
Secretary
  • The Secretary shall be responsible for keeping and distributing the minutes of all meetings of the Council, Executive Committee and Board of Directors.
  • The Secretary shall be responsible for all notices to members of the Council.
  • The Secretary shall maintain records of all official actions of the Council, Board of Directors and Executive Committee.
Treasurer
  • The Treasurer shall be responsible for presenting the annual budget to the Board of Directors, maintaining complete and accurate financial records, and providing a written, annual financial report at the Annual Meeting of the Council.
  • The Treasurer shall serve as the Chair of the Finance Committee of the Council.
  • The Treasurer shall provide for an audit of the financial record of the Council at least annually. 
  • The Treasurer shall provide required financial reports the Association.
  • The Treasurer shall provide financial reports to the Board of Directions at least quarterly
  • The Treasurer shall keep accurate records of all receipts and disbursements related to the workings of the Council.

The Board of Directors of the Council shall consist of the President, Vice-President, Secretary and Treasurer and five (5) Directors.

The Executive Committee of the Council shall consist of the President, Vice President, Secretary, Treasurer, and one Director who shall be elected annually by the members of the Board of Directors.

The Board of Directors shall meet not less than twice a year. Seventy-five (75) percent of the members shall constitute a quorum. The President may call a special meeting of the Board of Directors and must call a special meeting on written request of a majority of the members of the Board.

The duties of these officers and the terms of office shall be described by the Council.

The methods for nominating members of the Council to serve on the Board of Directors shall be described by the Council.

The Council shall develop methods for conducting elections.
