As part of our preparation for the Annual Business Meeting, members are invited to review proposed amendments to Article V of the ACAPT Bylaws, pertaining to the Board of Directors. The proposed changes are intended to clarify and modernize ACAPT’s governance structure, strengthen leadership continuity, and create a more intentional pathway for developing future leaders.
Key proposed changes include:
- Board leadership eligibility: Representatives would need at least one year of Board service before serving as an Officer.
- Term limits and service: Board service would be capped at nine consecutive years, while maintaining a limit of two consecutive full terms in the same office.
- Staggered elections: Elections would be structured across a three-year cycle to provide greater continuity and stability on the Board.
- Vacancy procedures: The amendments would clarify how Board vacancies are filled and how appointed individuals may subsequently seek election.
- Governance structure: Several provisions would be reordered or clarified to better reflect current Board practices and formalize existing governance processes.
The proposed amendments are not expected to have financial implications. If approved, the new term lengths and service limits would apply beginning with the 2027 elections, with provisions addressing current Board members and their eligibility to continue service.
The upcoming member town hall will provide an opportunity for members to learn more about the proposed changes, ask questions, and prepare for discussion and action at the Annual Business Meeting.
